RACE Service Area Civita North (Oil)

Q: With reference to the RACE in question, the following clarifications are requested:

  • You are asked to confirm that – with regard to the possibility of participating in the bidding process of the Valle Aterno Est Service Area – it is necessary to be in possession of both OIL and RESTORE requirements, and it is not sufficient, on the contrary, to be in possession of only one of the requirements.
  • You are requested to confirm that – with regard to the participation in the North Civita Area OIL bidding process – the oil operator will not be able to perform the service under canopy including administration.
  • Clarification is requested on how all documents that will be submitted will be signed: please specify whether the documents will have to be signed in paper format or also in digital format. In case digital signature of all documents is possible, please specify whether the same will still have to be placed inside the envelope also in paper form.

A: With respect to the requested clarifications, the following applies:

  • We inform that it is not possible to alternately declare requirements 3.2 or those in Section 3.3 of the Solicitation mentioned above, because it is necessary for both to be possessed.
  • We confirm that the “sub-censiline” does not involve any food service type activities (food preparation and handling).
  • Regarding documentation, the following applies. All forms can be signed with handwritten signatures, including those with digital signatures, and requires that the same be scanned and inserted into a USB flash drive. If some of the said forms are signed with digital signatures, the same should be inserted into the USB flash drive and likewise printed and produced in hard copy format by attaching them inside the envelope.

Q: With reference to RACE 1 Service Area Civita North (Oil), the following clarifications are requested:

  • In Article 4.2 of the resolution of ART 1/2023 – all. A – MEASURES FOR THE DEFINITION OF THE SCHEMES OF TENDERS RELATED TO TENDERS TO BE HELD BY AUTOSTRADAL CONCESSIONAIRS FOR THE GRANTING OF CARBOLUBRICANT, COMPRESSED NATURAL GAS AND LIQUEFIED NATURAL GAS DISTRIBUTION SERVICES AND COMMERCIAL AND RESTAURANT ACTIVITIES, provides that in the “Class 2 affected areas, the CA shall arrange for a plurality of entrustments for each affected area so that there is: a) at least one SC (“oil”) to carry out fuel distribution services, the sale of lubricants and other motor vehicle accessory products, as well as vehicle servicing and, if provided, CNG and LNG distribution services; the entrustment shall also include “under-capacity” activities, subject to Section 4.5.”
  • Article 4.5 of the same resolution indicates that “In the case of separate “oil” and “refreshment” entrustments in the same affected area, the CA shall take this into account in the planning of tenders, in order to ensure transparency, fairness and non-discrimination among sub-concessionaires operating in competitive activities in the same affected area.”
  • “Sub-capacity” activities means activities referred to in Article 28, Paragraph 8 of Decree Law 98/2011 (c.f.r. 1.18 resolution above);
  • In Attachment 1 – Subject of Entrustment – Oil Service attached to the solicitation of the application for participation is listed as sub-sensiline activities (Collateral type C-Sore) EXCLUDING SUMMIT TYPE ACTIVITY,

We are hereby requesting clarification with regard to the exclusion of administration-type activity.

A: With respect to the requested clarifications, the following applies:

  • We confirm that the “undercabinet” does not provide for administration-type activities (food preparation and handling); the choice is of a technical/economic nature and concerns aspects related to the financial viability of the overall area and the limitations of space for commercial use. It should be noted that this provision has been subject to the approval of the Ministry of Infrastructure and Transport, as well as shared with the Transportation Regulatory Authority.

D: With reference to TENDER 3 East Aterno Valley Service Area (Oil+Ristoro), the following clarifications are requested:

  • When submitting the application for participation, economic operators must certify that they meet the general requirements set forth in art. 94 of Legislative Decree no. 36/2023, as amended and supplemented, by signing a substitute declaration prepared in accordance with the attached “Facsimile Substitute Declaration”, referring to the persons referred to in paragraph 3 of art. 94 of the aforementioned Legislative Decree. In relation to the foregoing, confirmation is requested that – with reference to the particular category of “general attorneys” referred to in letter e) of paragraph 3 of art. 94 of Legislative Decree no. 36/2023 – attorneys with specific powers to represent the company in bidding procedures of the type of the one being solicited.
  • With reference to the oil-type technical and economic capacity requirements referred to in par. 3.3 of the Solicitation for Participation in question, please confirm whether the existence of the requirement under letter b) of the aforementioned par. can be considered fulfilled (without the need for recourse to outsourcing), where the Economic Operator was the holder of the concessions and/or authorizations relating to fuel distribution facilities pursuant to lett. a) of the aforementioned par. but the management of the aforementioned facilities was entrusted to another company belonging to the same Group, which has entered into the necessary multi-year fuel supply contracts.

A: With respect to the requested clarifications, the following applies:

  • We confirm that in the category of “general attorneys,” referred to in subparagraphs (e) of paragraph 3 of Article 94 of Legislative Decree No. 36/2023, are to be understood as attorneys with specific powers to represent the company in bidding procedures of the type of the one that is the subject of the Solicitation.
  • The requirement is fulfilled by contract ownership even if the management of the said facilities were entrusted to another operator.

  2. 2. in the refreshment and market sector, in Italy and/or abroad, in concession channels (freeways, airports, railway stations, etc.) and/or in the direct or indirect management of complex networks of points of sale, outside the concession channels, as well as the availability of adequate logistics, we request confirmation that the Economic Operator may declare, alternatively, the possession of the requirements set out in par.2 or those referred to in point 3.3. of the aforementioned Paragraph 3 of the Solicitation, as, moreover, would seem to be inferred from the subsequent passages of the same Solicitation, as well as from the “Facsimile Substitute Declaration” on page 4.
  • With reference to the oil-type technical and economic capacity requirements referred to in par. 3.3 of the Solicitation for Participation in question, please confirm whether the existence of the requirement under letter b) of the aforementioned par. can be considered fulfilled (without the need for recourse to outsourcing), where the Economic Operator was the holder of the concessions and/or authorizations relating to fuel distribution facilities pursuant to lett. a) of the aforementioned par. but the management of the aforementioned facilities was entrusted to another company belonging to the same Group, which has entered into the necessary multi-year fuel supply contracts.

Q: With reference to TENDER 3 Valle Aterno East service area (Oil+Ristoro), the following clarifications are requested:

  • In the solicitation, 4 PdVs with total annual turnover of the last 3 years of €.2,000,000 are required

 

From the table entered in the substitute statement, the sum of 4 PoWs for each year is shown with the average of the sums for the three years.

If the company that intends to apply for participation has 4 PdVs that have, for each, an annual turnover of €.1,000,000, the compilation of the table should be as per the following example:

 

Therefore, the average of the sum of the years of turnover, being above €.2,000,000, satisfies what was requested in the solicitation.

We ask whether this interpretation is considered correct; if not, we await your guidance.

Q: With reference to Tender 3 East Aterno Valley Service Area (Oil+Ristoro), the following clarifications are requested:

  • In the solicitation, an electronic storage medium is requested to contain scanned PDFs of paper documents. The indication is to place such documents in a USB flash drive. It is asked whether a CD-ROM can be used as the electronic storage medium;
  • regarding the technical and economic capacity requirements-article 3 of the solicitation-please clarify whether the economic operator must possess both requirements (oil and refreshment) or is it sufficient to possess only one of these requirements.

A: With respect to the requested clarifications, the following applies:

  • yes, a CD-ROM can be used as the electronic medium in place of a USB flash drive;
  • the economic operator must meet both requirements set out in paragraphs 3.2 and 3.3 of the Application Solicitation.

D: With regard to the Solicitation for Application for Participation in question, please clarify the following. The facsimiles of the statements required for the purpose of participation in the Expression of Interest are set to be digitally signed, but paragraph 7 of the Solicitation provides for delivery of the documents in hard copy by envelope.

It is therefore asked whether it is possible to submit the entire documentation required by the Solicitation only in digitally signed electronic format, saved on USB media inserted inside a closed, sealed and countersigned envelope.

A: The entire documentation, if digitally signed, must be saved on the appropriate USB media to be placed inside the sealed envelope, along with the production of the same in hard copy.

D: We are hereby requesting confirmation that the forms, which are to be hand-delivered, should bear the handwritten signature of the legal representative/attorney and not digital, as indicated on some forms. On the flash drive then, a scan of the paper documentation containing the handwritten signature should be placed. The documentation on the flash drive should not contain digital signatures. Is our interpretation correct?
